Humane, Inc. Plan Terms

By purchasing or using a plan to Humane’s services, including any add-ons (see below), you agree to the following terms and conditions (these “Plan Terms”), which supplement and form a part of the Terms of Service. Capitalized terms not defined here have the meaning given to them in the Terms of Service.

  1. Account Registration. You can register for a Humane Plan by creating an account on the Site designated by Humane and successfully completing a purchase of Humane’s Ai Pin. You agree to provide only accurate information, including your name, address, credit or debit card number, expiration date, and any other payment information. You are responsible for keeping such information up-to-date and must provide changes promptly to your account page, which may be accessed at https://humane.center/. Humane’s use of your information is governed by Humane’s Privacy Policy.
  2. Humane Plan and Add-ons. A Humane Plan is required with the purchase of the Ai Pin. All add-ons require the purchase of a Humane Plan. The following are additional features and limitations of the Humane Plan and related add-on purchases:
    1. Humane Plan. Users receive high-speed data (up to 10GB) and limited domestic roaming (100 MB data, 60 minutes, 100 SMS). Roaming capabilities are not guaranteed. Other limitations may apply. For current pricing and more information on data, call, and text offerings, please visit humane.com/humane-plan.
    2. Stateside International Long Distance Calling Add-on Plan (“Stateside Add-on”). Only supported in certain countries. Other limitations may apply. For more information on supported countries, as well as current pricing, please visit humane.com/humane-plan.
    3. International Roaming Add-on Passes (“International Add-on”). Roaming capabilities are not guaranteed. Other limitations may apply. For current pricing and more information on data, call, and text offerings, please visit humane.com/humane-plan.
    4. Service Usage Thresholds. All texting services enabled by the Ai Pin and your Humane Plan are subject to applicable inter-carrier agreements, which may be modified from time to time by Humane’s supplier, at such supplier’s sole discretion. Any modifications to the inter-carrier agreements may result in Service disruption. Humane may limit usage, in its sole discretion, to prevent fraud or abuse.
  3. Billing Cycles and Auto-Renewal
    1. Humane Plan
      1. Billing. By purchasing a Humane Plan, you acknowledge that your Humane Plan has recurring payment features and accept responsibility for all recurring payment obligations before the cancellation of your Humane Plan by you or Humane. You will be charged the applicable fee for the first month of your Humane Plan at the time of your Humane Plan setup. For subsequent months, your billing date will be based on the date you activate your Ai Pin. Billing will then continue on a monthly basis, until the Humane Plan is canceled in accordance with these Plan Terms. You shall be charged on the same date each month, unless the original activation of the Humane Plan occurred on the 29th, 30th, or 31st of the applicable month (where you shall be charged on the 28th of each month).
      2. Termination. If you terminate your Humane Plan at any point, you may use your Humane Plan until the end of the then-current plan period, and your Humane Plan will not be renewed after that period expires. However, you will not be eligible for a prorated refund of any portion of the monthly fee paid for the then-current plan period. Terminating your Humane Plan will also result in the termination of any applicable add-ons.
    2. Stateside Add-on
      1. Billing. You will be charged for the Stateside Add-on at the same time as your Humane Plan (see above) on a monthly basis, until the Stateside Add-on is canceled in accordance with these Plan Terms. If you purchase the Stateside Add-on mid-billing cycle, you will not be eligible for a prorated fee.
      2. Termination. If you terminate your Stateside Add-on at any point, you may use your Stateside Add-on until the end of the then-current plan period, and your Stateside Add-on will not be renewed after that period expires. However, you will not be eligible for a prorated refund of any portion of the monthly fee paid for the then-current plan period. Terminating your Stateside Add-on will not result in the termination of your Humane Plan.
    3. International Add-on
      You will be charged the applicable fee for the International Add-on at the time of purchase. The International Add-on is not available on a plan basis. You may not purchase an International Add-on while also being subscribed to the Stateside Add-on and vice versa.
  4. Refunds. Refunds for the Humane Plan, including any add-ons, are not available, except at Humane’s sole and absolute discretion. For more assistance, please visit https://humane.com/support.
  5. Cancellation. To change or terminate your Humane Plan, including any add-ons, please visit https://humane.com/support. In the case of the death of the principal account holder, to terminate the Humane Plan, you will need to provide the applicable death certificate.
  6. Offers and Promotions. Humane may offer additional promotions or discounts related to Humane Plans from time to time. Please read the details of those offers carefully, as any additional terms presented during the signup process will form part of these Plan Terms, including with respect to any specified timeframe of the trial or promotion.
  7. Suspension or Termination by Humane. Humane, in its sole and absolute discretion, may immediately terminate or suspend your account and all or a portion of your Humane Plan (including any add-ons) without notice if:

    a. your payment is overdue;
    b. you provide false or inaccurate information;
    c. you violate these Plan Terms, the Terms of Service, or any other Humane rules, policies, or agreements then in effect;
    d. you engage in conduct that is a violation of any Law (including Intellectual Property laws);
    e. you engage in fraud, misrepresentation, or other conduct detrimental to the interests of Humane;
    f. you engage in excessive roaming or usage in violation of Humane’s agreements with its suppliers;
    g. Humane determines, in its sole discretion, that your Humane Plan is being accessed in a commercial setting or is for commercial use;
    h. Humane determines your continuing Humane Plan constitutes a reasonable threat to the security, integrity, or other aspect of the Service.
  8. Effect of Suspension or Termination of Service. If we terminate or suspend your Humane Plan, (a) your license to use the Service in connection with such Humane Plan is also terminated or suspended (as applicable); (b) we have the right to immediately reassign or deactivate the Number (as defined below) associated with your Humane account; (c) we have the right to immediately delete all data, files, and other information stored in or for your account without further notice; and (d) it will be your responsibility (and not Humane’s) to ensure that any separate plans you connected to your Humane Plan are canceled accordingly or otherwise transferred or ported to another device. You must pay all charges up to and including the date of termination or suspension. Should you wish to resume your Humane Plan after any suspension, a restoration of service fee may apply, which includes all past-due unpaid charges and other fees.
  9. Payment.
    1. Fees. The fees for the Humane Plan and any available add-ons are listed on https://humane.com/humane-plan and do not include any applicable taxes and other charges. Humane may, in its sole and absolute discretion, change any and all such fees from time to time. If the amount to be charged (for the Humane Plan or an applicable add-on) varies from the amount pre-authorized (other than due to the imposition of, or change in, applicable sales tax), you have the right to receive, and we will provide, notice of the amount to be charged and the date of the charge before the scheduled date of the transaction, unless applicable Law requires you to consent to the change in price expressly.
    2. Amount to be Charged. Any agreement you have with your payment provider governs your use of your specified payment method. You agree to pay us all charges at the prices then in effect for any purchase in accordance with the applicable payment terms presented to you at the time of purchase (or as such payment terms are modified by updated versions of our Terms of Service or these Plan Terms). You also agree that we may accumulate charges incurred and submit them as one or more aggregate charges during or at the end of each billing cycle.
    3. Billing Authorization. When activating your Humane Plan or purchasing an add-on, you must provide a payment method (such as a credit or debit card number) that we accept, along with other payment information.YOU ARE RESPONSIBLE FOR THE TIMELY PAYMENT OF ALL FEES AND FOR PROVIDING US WITH VALID CREDIT CARD OR PAYMENT ACCOUNT DETAILS FOR PAYMENT OF ALL FEES. You represent, warrant, and covenant that you have and will maintain the legal right to use all payment method(s) you provide us. You hereby authorize us to: (a) charge your specified payment method on a monthly basis for your Humane Plan and any add-ons (without the requirement of a signed receipt); (b) place a hold on your payment method for any unpaid charges for your Humane Plan or any add-ons; and (c) continue to attempt to charge or place holds for all sums described herein, or any portion thereof, to your payment method until such amounts are paid in full. You agree (i) to provide updated payment information upon request, and at any time the information you previously provided is no longer valid; and (ii) that neither Humane nor any Humane agent will have any liability whatsoever for any insufficient funds or other charges incurred by you due to attempts to charge or place holds on your specified payment method as contemplated by these Plan Terms. Your failure to terminate your Humane Plan (including any add-ons, if applicable) reaffirms that we are authorized to charge you for that Humane Plan and such add-ons in accordance with these Plan Terms.
    4. Non-Refundable. Except as expressly specified in these Plan Terms, or as otherwise required by applicable Law, any paid fees are non-cancelable and non-refundable.
    5. Billing Inquiries. If you believe you have been billed in error for a Humane Plan or any add-ons, please notify us within 60 days of the billing date by visiting https://humane.com/support. Humane will not issue refunds or credits after the expiration of this 60-day period, except where required by Law.
    6. Collections Costs. If we use a collection agency or attorney to collect money owed by you, you agree to pay the reasonable costs of collection, including any collection agency’s fees, reasonable attorneys’ fees, and arbitration or court costs.
  10. Use of the Ai Pin. Any Subscriber Identity Module (including eSim, “SIM”) card provided by Humane must only be used with an Ai Pin. Humane may elect to immediately suspend or terminate your plan if you violate this requirement. We may periodically program your Ai Pin remotely with system settings for roaming service and other features that cannot be changed manually. An Ai Pin purchased for use on Humane’s network may not function on other networks.
    1. You acknowledge that, except as required by law, you shall acquire no proprietary interest in the specific telephone (MDN) number (the “Number”) or SIM card assigned by Humane for your use. You acknowledge that any intellectual property or software in the SIM card not provided by Humane or you is the property of the supplier of the Service to Humane, and such supplier may change or update the software or other data in the SIM card or the software in the Ai Pin over the air and utilize any capacity in the SIM card for administrative, network, business, and/or commercial purposes.
    2. You shall not be deemed a third-party beneficiary of any contract between Humane and any of Humane’s suppliers.
    3. You have no ownership rights to the Number. We may change your Number assignment by giving you prior notice of the change, if such change is necessary in Humane’s judgment in order to provide you the Services or to maintain or improve the security, integrity, or performance of the Services. You may not assign the Number or the Ai Pin’s Electronic Serial Number (“ESN”) to any other Ai Pin. You may not program any other Number into the Ai Pin. These acts are considered fraud, entitling Humane to cancel or suspend your plan.
  11. Service Availability and Limitations.
    1. Certain portions of the Service may not always be available in all places. Furthermore, certain portions of the Service are only available to your Ai Pin when the Ai Pin is within the operating range of Humane’s cellular systems. Accordingly, the Service may be subject to transmission limitations beyond the systems control and may be temporarily interrupted. You accept the Service with these limitations.
    2. The Service may be interrupted, delayed, or otherwise limited for a variety of reasons, including environmental conditions, unavailability of radio frequency channels, system capacity, priority access by National Security and Emergency Preparedness personnel in the event of a disaster or emergency, coordination with other systems, equipment modifications, and repairs, and problems with the facilities of interconnecting carriers. We may block access to certain categories of numbers or certain websites in our sole discretion. Humane may, but does not have the obligation to, refuse to transmit any information through the Service and may screen and delete information prior to delivery of that information to you. WE DO NOT GUARANTEE YOU UNINTERRUPTED SERVICE OR COVERAGE.
    3. 911 services are provided by your state and local government. Our Ai Pins can make calls to 911 in the United States. The Ai Pin must have battery power and network connectivity to complete a 911 call. When making 911 calls, you should provide your contact information and current location. Other third-party entities are involved in connecting a 911 call, and Humane is not solely responsible for determining which 911 communications center your 911 call may be routed to. If you are outside the U.S., you may have to dial a different number than 911 to call emergency services. WE CANNOT ASSURE YOU THAT IF YOU PLACE A 911 CALL YOU WILL BE FOUND. SUBJECT TO SECTION 10 OF THE TERMS OF SERVICE, IN NO EVENT SHALL HUMANE BE LIABLE, WHETHER OR NOT DUE TO ITS OWN NEGLIGENCE, FOR ANY DAMAGE OR INJURY CAUSED BY FAILURE OR DELAY IN CONNECTING A CALL TO 911 OR ANY OTHER EMERGENCY SERVICE.
  12. Privacy Policy. Please read the Privacy Policy carefully for information relating to our collection, use, storage, and disclosure of your personal information. Cellular devices use radio channels to transmit voice and data. Although laws prohibit listening in on cellular calls, your privacy cannot be guaranteed.
  13. Communications. Humane may use text messaging to keep in touch with you for certain purposes, including operational communications concerning your Humane account, balance alerts, marketing information and promotions run by Humane, and any other news concerning Humane. If you wish to opt out of receiving these text messages, text “STOP” to the number you received the text messages from. You understand and acknowledge that you are not required to receive these text messages as a condition of using your Humane Plan and/or the Service. Standard messaging and data rates may apply.
